Holyoke Mutual Insurance Company in Sale,, et al. v. Vibram USA, Inc. (Lawyers Weekly No. 12-031-17)

1 COMMONWEALTH OF MASSACHUSETTS SUFFOLK, ss. SUPERIOR COURT CIVIL ACTION NO. 15-2321 BLS1 HOLYOKE MUTUAL INSURANCE COMPANY IN SALEM and MARYLAND CASUALTY COMPANY vs. VIBRAM USA, INC. MEMORANDUM OF DECISION AND ORDER ON CROSS-MOTIONS FOR SUMMARY JUDGMENT ON RECOUPMENT AND RECOVERY OF DEFENSE COSTS INTRODUCTION This action arises out of a coverage dispute between the plaintiff insurance companies, Holyoke Mutual Insurance Company in Salem (Holyoke)1 and Maryland Casualty Company (Maryland) (individually an Insurer, and collectively the Insurers), and the defendant, Vibram USA, Inc. (Vibram). Each of the insurers issued commercial general liability policies to Vibram (or its affiliate) (the Policies).2 An action was filed against Vibram in the United States District Court for the Western District of Washington at Tacoma captioned: Tefere Abebe Bikila, and others, v. Vibram, case no. 3:15-cv-05082-RBL (the Underlying Action). Vibram asserted coverage under the Policies and tendered defense of the Underlying Action to the Insurers. The 1 Holyoke has been replaced as a plaintiff in this action by its successor, Country Mutual Insurance Company. For consistency, the court will continue to refer to it as Holyoke in this Memorandum of Decision and Order. 2 Holyoke issued policies to Vibram for several years, while Maryland issued policies to an affiliate of Vibram,Vibram Five Fingers, LLC. It is not necessary to distinguish between Vibram and its affiliate for the purposes of this motion, and the court will refer to them collectively as Vibram. Additionally, for purposes of this motion the relevant policy language in all of the policies is identical, and is it also unnecessary to distinguish among policy years. The court will therefore simply refer to the Holyoke and Maryland policies collectively as the Policies. 2 Insurers each sent a “reservation of rights” letter to Vibram in which they agreed to provide its defense to the claims asserted in the Underlying Action, but also maintained that coverage did not exist under the Policies and reserved their rights to bring a declaratory judgment action and seek reimbursement for defense costs advanced. The Insurers then filed this declaratory judgment action seeking a declaration that the claims asserted against Vibram in the Underlying Action are not covered under the Policies; Vibram counterclaimed for a declaration that they are. In a Memorandum of Decision and Order on Cross-Motions for Summary Judgment and Partial Summary Judgment originally issued on August 17, 2016 (the Decision), this court held that the Policies do not provide coverage for the claims asserted against Vibram in the Underlying Action and, accordingly, there is no duty to defend. Tickets on Sale for South End Garden Tour

This year’s South End Garden Tour, featuring local art and neighborhood public and private gardens, will be held next Saturday, June 15, announced the South End Garden Society. The self-guided walk takes viewers through 20 gardens throughout the South End. This year’s tour encompasses the area from the Southwest Corridor to Tremont Street between Rutland Square and Dartmouth Street. In addition to private gardens, the tour will also feature Montgomery Park, a private urban oasis normally entered only by adjacent residents. Several artists will be on scene in the gardens, with their paintings up for sale at the ‘Artists In The Garden’ Reception, to be held at City Year Headquarters (287 Columbus Ave.) A tour ticket will get you into the reception.  The tour runs from 10 a.m. to 4 p.m. and starts at the South End Branch of the Boston Public Library (685 Tremont St.).  Tickets are $ 20 in advance; $ 25 day of event. Proceeds benefit the South End & Lower Roxbury Community Gardens through Boston Natural Areas Network, a nonprofit organization that protects community gardens and urban green spaces. Nothing turns heads quite like a pristine American classic, or an antique that makes you think, “How is that thing still running and looking brand new?” According to the Registry of Motor Vehicles, if you want to apply for an antique license plate, an “antique motor car” is any motor vehicle over 25byears old maintained solely for use in exhibitions, club activities, parades, and other functions of public interest. The Classic Car Club of America says that “antique” is a general description of any car that is 25 years old or more, and that all “Full Classics” are antiques, but not all antiques are “Full Classics” as defined by the club (which are only specific important marques built largely between 1925 and 1948). However you want to define it, here are five classic cars currently for sale in the area: 1. 1970 Chevrolet Chevelle SS, $ 77,995 This 1970 Chevrolet Chevelle SS has a 4-speed transmission and an 8-engine. The exterior color is black with red racing stripes on the hood and the interior color is black. The car has 18,500 miles. The exterior color is green and the interior color is black. The car has 68,100 miles. It’s being sold by Bossi’s Automotive in Winchester, according to cars.com. 3. 1964 Ford Mustang 289 4-Barrel, $ 26,750 This 1964 Ford Mustang 289 4-Barrel has a manual transmission with a V8 engine. The exterior color is Wimbledon White and the interior color is red. The car has 30,951 miles. It’s being sold by Cambridge Honda, according to cars.com. 4. 1955 Oldsmobile, $ 24,995 This 1955 Oldsmobile has an automatic transmission with an 8-engine. The exterior color is blue and the interior color is blue. The car has 5,144 miles. It’s being sold by The Highline Group in Lowell, according to cars.com. 5. 1929 Ford Model A, $ 18,000 This 1929 Ford Model A has a three-speed transmission and a 4-cylinder engine. Things to Know in the South End Today, April 3: T-shirt Fundraiser Sale for ARL at SAULT

1. Weather: The National Weather Service is predicting a mostly sunny day with a high of 43 degrees.  2. ARL & SAULT: Men’s retailer Sault (577 Tremont St.) is hosting a special fundraising sale starting today on a collection of graphic t-shirts and tote bags to benefit the Animal Rescue League of Boston.  This limited addition collection will be available exclusively at SAULT New England, and 100 percent of the proceeds from each sale will go directly back to the South End branch of the ARL of Boston. The t-shirts were designed by South End resident Brendan Ciecko and their design combines animal silhouettes and Boston’s unique architecture and signage.
